By clicking ‘I Agree’ or otherwise indicating acceptance electronically, you (“Client”) agree to be bound by these Savings Analysis Terms of Use (“Terms”) with ProcureDesk LLC (the Distribution Partner) and its Group Purchasing Partner, Rampart Corporation of Canada (“Rampart”). If you do not agree to these Terms, do not proceed with the Savings Analysis.
These Terms govern the Client’s participation in a free Savings Analysis service offered jointly by Rampart and the Distribution Partner to identify potential cost savings based on the Client’s purchasing history.
1. Consent to Data Analysis
Client authorizes Rampart to access and analyze its purchasing data—including but not limited to invoices, receipts, purchase orders, and other records—for the purpose of identifying potential cost savings.
2. No Obligation to Act
Client is not obligated to implement any savings recommendations made by Rampart.
3. Consent to Data Transfer
Client authorizes the Distribution Partner to transfer the Client’s purchasing data to Rampart for analysis.
4. Confidentiality
Rampart will maintain the confidentiality of Client data and only share it with Vendors or partners as needed to identify savings opportunities. Rampart will not sell or license the data.
5. No Fees
Rampart will not charge Client for services related to the analysis of purchasing data.
6. Revocation of Consent
Client may revoke this consent at any time by providing written notice to Rampart or the Distribution Partner, at which point all analysis and data sharing will cease.
7. Communications
By agreeing to these Terms, Client grants Rampart the right to contact Client through various communication channels — including, but not limited to, phone, email, or other electronic means — for the purpose of matters including and related to savings opportunities.
8. Authority to Agree
By clicking ‘I Agree’, the person accepting these Terms confirms they have the authority to bind the Client organization.
9. Governing Law
These Terms are governed by the laws of New York, without regard to its conflict of law provisions.
